can i make weapon and player models (and skin them) with 3ds Max 8, and then just use Milkshape to export them, or does this not work?

Try to model it with 3DMax 8, and then export into 3DS format. I don't think you can skin it in 3DMax 8. You have to skin in other compatible 3D modeler.

what else might i be able to use for the skinning (and thx for the help)
I remembered that someone ever mentioned about GMax software (If I'm not wrong). It can be used for modelling too. But frankly, I rather use 3DMax 8 for modelling. It is okay for skinning. But I think the features in the 3DMax 8 are much more comfortable for modelling.
well considering its from a mod thats been unreleased, and the model isnt available anywhere, i wud say it would literally have to be remade from scratch.

Yeah, that's pretty much right. However, I do have a custom Gordon Freeman model but it's a ".mdl" file (it's a custom model that was made for a Half-Life 1 mod called "Todesangst 2").
I'm just not sure if it is possible to port that model into the MP2 engine.
